Terms and Conditions

§ 1 Scope

These Terms and Conditions apply to all contracts between MechanX UG (haftungsbeschränkt) (hereinafter „we“) and its customers regarding the use of Cinemads, both towards consumers and towards business customers.

We conclude contracts with customers whose place of residence, registered office or billing address is in the United Kingdom or the United Arab Emirates only if they act as entrepreneurs within the meaning of § 14 of the German Civil Code (BGB). When purchasing, they must provide a valid UK VAT number or, for the United Arab Emirates, a valid Tax Registration Number (TRN). The reverse charge mechanism applies to these purchases: the customer owes the VAT under the law of their own country, and our price does not include VAT. We refund in full any payment made with a billing address in these countries without such a number; no credits are added for it.

§ 2 Service

Cinemads uses an AI agent on our servers to create video ads based on the website you specify. The agent works independently: it chooses excerpts, wording and visual language itself. We do not guarantee any particular result or any particular design; the videos generated may differ from your expectations.

AI-generated content may contain errors. You are responsible for checking the content, claims and prices in the video before publishing it.

§ 3 Account

Sign-in takes place by email sign-in (magic link or one-time code); no password is required. You are obliged to secure access to your email inbox and thereby to your account.

§ 4 Credits and prices

Use is paid for in advance through credit packs. Prices are shown before purchase, inclusive of VAT where it applies; for customers in the United Kingdom and the United Arab Emirates, § 1 applies. If the website is accessed from the European Economic Area, Switzerland, Andorra, Monaco, San Marino or Vatican City, prices are stated in euros, otherwise in US dollars. The price and currency shown in the payment process at Stripe Checkout apply.

• A video ad costs 4 credits.
• Each additional language costs 1 credit.
• A revision costs 1 credit.

Payment is made via Stripe. The contract for the purchase of a credit pack is concluded as soon as you complete the payment process at Stripe Checkout. Credits are credited to your account immediately after payment is made.

§ 5 Consumption and refunds

Credits are deducted from your account when an order is started. If an order fails or cannot be completed, the credits consumed for it are automatically refunded. Otherwise, credits already consumed are not refunded; statutory rights, in particular consumers' rights of withdrawal, remain unaffected by this.

§ 6 Rights to content

By submitting a website, you confirm that you hold the necessary rights to the website's content and the brand elements used (logo, images, text, names) and are entitled to use them for the video. You indemnify us against third-party claims arising from a breach of this assurance.

The submission of the following is prohibited:

• websites with unlawful content,
• websites to which you hold no rights,
• orders that would result in misleading or unlawful advertising.

We may refuse or cancel such orders. In this case, the credits consumed for them will be refunded.

§ 7 Rights of use to the video

You receive a simple, non-exclusive, transferable right to use the videos created for you for any purpose, including commercial use, without limitation of time or place, insofar as we hold rights to the videos. AI-generated content may not be protected by copyright. We do not use your videos for our own advertising without your consent.

§ 8 AI labelling

The videos generated are labelled as AI-generated in a machine-readable way. You are responsible for observing any labelling obligations of the platforms on which you publish the videos.

§ 9 No guarantee of success

We provide no guarantee of any particular sales success, any particular reach, any particular click-through rate, or approval of the video by third-party advertising platforms.

§ 10 Availability

We strive for reliable operation but provide no guarantee of uninterrupted availability of Cinemads. We recommend downloading created videos promptly.

§ 11 Liability

We are liable without limitation for intent and gross negligence, for damages arising from injury to life, body or health, and under the provisions of the Product Liability Act (Produkthaftungsgesetz). For slightly negligent breach of material contractual obligations (cardinal obligations), our liability is limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.

§ 12 Withdrawal notice for consumers

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving reasons. The withdrawal period is fourteen days from the day the contract was concluded.

To exercise your right of withdrawal, you must inform us (MechanX UG (haftungsbeschränkt), Kolonnenstr. 8, 10827 Berlin, email: hello@cinemads.app) by means of a clear statement (e.g. by email) of your decision to withdraw from this contract. You may use the attached sample withdrawal form for this purpose, although it is not required.

To meet the withdrawal deadline, it is sufficient that you send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we must repay all payments we have received from you, without undue delay and at the latest within fourteen days from the day on which we received notice of your withdrawal from this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees as a result of this repayment.

Expiry of the right of withdrawal

Your right of withdrawal expires, in the case of a contract for the supply of digital content not supplied on a physical medium, if we have begun performance of the contract after you have expressly agreed that we may begin performance before the withdrawal period has expired, and you have confirmed your knowledge that, by giving this consent, you lose your right of withdrawal (§ 356 (5) BGB, German Civil Code).

§ 13 Sample withdrawal form

§ 14 Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers habitually resident in another country, the mandatory consumer protection provisions of that country remain unaffected.

For merchants, the place of jurisdiction is Berlin.

Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
